The SMEReminder.com online solution

• The SMEReminder.com online solution (the “Software”) is owned, operated and provided to You, the person who uses the Software and operates the Account further defined below (the “User”) by SME Reminder, a company incorporated and existing under the laws of the Malaysia (referred to as “We” and/or “Us”) subject to the provisions of these Terms and Conditions (“T&Cs”).
• The Software is available via our Website, subject to the Website Terms and Conditions and following the completion of the sign-up for a SMEReminder.com Account (the “Account”), pursuant to any additional documentation relevant to the subject matter communicated to You which You agreed
• You may have an Account to which You can register staff, services and do other business related things and be used for the purposes of operating the Software and receiving our Services.
• Subject to the provisions herein, We hereby provide You with the Software by granting You a non-exclusive licence to use it for reminder management (the “Specific Purposes”).

Reminders via SMEReminder.com online solution

• When a person (a “Client”) uses the Software for sending reminder; and/or for any other Solutions; and/or buys a product online with a Service Provider (could be You or any other person that uses the System to accept and treat reminders online, send promotions, sell products and do other related things that helps them run their service business) which is linked to the Account:
• When a Client makes any change in the reminder including but not limited to cancelling, the responsibility to be familiar with the applicable policies and procedures of the User lies to him/her.

Account Terms

• You must be human. Accounts registered by bots and other automated methods are not permitted.
• SME Reminder may communicate with you via email regarding your account, updates, news, and other issues related to your account. You automatically get subscribed to our mailing lists and newsletters. You can choose to opt out from receiving emails.
• You are responsible for maintaining the security of your account and password. SME Reminder cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
• You are responsible for all content posted and activity that occurs under your account (even if the content is user generated) - be it in the live chat, help desk, phone or social.
• We have a soft limit on all our plans and should we believe that you are abusing the service, we may temporarily suspend your account and will seek your cooperation in this regard.
• We reserve the rights to accept or refuse to any potential client. We have the sole discretion on whether to allow you to register, renew, change plan, or use our services.
• You must provide your legal full name, a valid business email address, and any other information requested in order to complete the sign up process.

Payments, Refunds, Upgrading and Downgrading Terms

• Paid Plans
  Yearly subscription: SME Reminder monthly subscription is a year-to-year, pay-as-you-go service. You will be billed for every 1 year of service. You may cancel our service any time and you won't be charged again, but you are solely responsible for the charges already incurred. Yearly and bi-yearly subscription: We offer no refunds on these plans. You may cancel the service anytime and you won't be charged again. You are, however, solely responsible for the charges already incurred.
• No refunds will be made from SME Reminder on any of the Yearly & Bi-Yearly plans.
• You are responsible for whatever charges have been incurred. Due to equality policy for our customers, no exceptions will be made.
• For any upgrade or downgrade in plans, new plan rate will be reflected on the next invoice from your next billing cycle.
• Downgrading your Service may cause the loss of content, features, or capacity of your account. SME Reminder does not accept any liability for such losses.
• Payment is due 30 days from the invoice date.
• We may suspend or terminate your account if you fail to make payment of any amounts due to us by the Due Date.

Cancellation and Termination

• The account owner is the only person who can cancel an account. You are solely responsible for properly canceling your account. Please ensure that the cancelation requests are made only through email with subject - "SME Reminder - Account cancellation" and send to .
• You need to write in 3 months before the Account cancellation.
• Account cancelations typically take about 7-14 business days to be processed. Once your account is canceled, all your account information will be permanently deleted. You won't be charged again after your official cancelation date.
• SME Reminder, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other SME Reminder service, for any reason, at any time. Such termination of the Service will result in the deactivation or deletion of your Account or access to your Account, and the forfeiture and relinquishment of all content in your Account. SME Reminder reserves the right to refuse service to anyone for any reason at any time.

Modifications to the Service and Prices

• SME Reminder reserves the right to modify and discontinue, at any time and from time to time, temporarily or permanently, the Service (or any part thereof) with or without notice.
• Prices of all Services, including but not limited to subscription plan fees of the Service, are subject to change without notice from us. SME Reminder shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

Limitation Of Liability

• SME Reminder shall not be liable for any consequential, incidental or special damages, including but not limited to any loss in profits, use, business interruption, data or cost of obtaining substitute goods; arising out of or in connection with the provisions herein, or the use or inability to use the System, even the possibility of such damages has been advised.
• SME Reminder shall have no liability whatsoever to remedy any breach of a warranty, undertaking and/or representation provided herein where the breach results from your misuse of the System and/or is in relation to Your obligations to the subject matter of these Terms and Conditions.
• Except for indemnification for infringement, in no event the aggregate liability of SME Reminder arising out of or in relation to the provisions herein, irrespective of cause, any theory of liability, whether based in contract or tort or otherwise, except as related to the indemnification provisions herein; shall exceed the amount payable by You for the Services and subject matter.
• The foregoing limitation of liability shall apply notwithstanding any failure of essential purpose of any limited remedy stated herein.
• Except as expressly and specifically provided herein, You assume sole responsibility for results obtained from the use of Services including any and all conclusions drawn from such use; and any and all warranties, representations, conditions and all other terms of any kind whatsoever implied by statute or common law are, to the fullest extent permitted by applicable law, excluded from the provisions of heein and pursuant to the subject matter.
• SME Reminder shall have no liability whatsoever in relation to the functioning of any widgets when inserted on external sites or in other external solutions.

Limitation Of Liability For Clients

• The Client hereby understands and agrees that SME Reminder:
  • has no responsibility whatsoever about the reminder and cannot guarantee in any way the accuracy or completeness of the User to meet the expectations;
  • no responsibility whatsoever for any fees applicable by the User for any normal business relations;
  • does not guarantee in any way purchases made via the System operating by the User and any dispute for that subject matter shall be settled between the Client and the User;
  • accepts no responsibility whatsoever for any wrongdoing of the User and subsequent provision of services.
• The Client hereby understands and agrees that he/she holds the sole responsibility to ensure that reminders are properly processed and confirmed by the User as deemed necessary.

Indemnification

• You will indemnify and hold SME Reminder and where deemed appropriate its officers, directors, agents, subsidiaries, joint ventures, and employees; harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of the provisions herein or your violation of any law or the rights of a third party, pursuant to these Terms and Conditions.
• Where there is a dispute between You and Your Clients or between Your Clients and a Service Provider, SME Reminder shall have no liability, responsibility or otherwise held accountable for any claim, demand (actual and consequential) of any kind and nature, known and unknown, arising out of or in any way connected with the Services.

Force Majeure

• Neither You nor SME Reminder shall be liable to each other by reason of failure or delay in the performance of our obligations herein, if the failure arises out of any circumstances beyond each reasonable control, including but not limited to acts of God, flood, fire, natural disaster, war, pandemic, invasion, riot, civil unrest, embargos, national or regional emergency, strikes, power or telecommunication interruptions or shortages.
• SME Reminder claims no intellectual property rights over the Content you upload or provide to the Service. However, by using the Service to send Content, you agree that others may view and share your Content.

Copyright and Ownership

• SME Reminder or its suppliers own the intellectual property rights to any and all protectable components of the Service, including but not limited to the name of the Service, artwork and end-user interface elements contained within the Service, many of the individual features, and the related documentation. You may not copy, modify, adapt, reproduce, distribute, reverse engineer, decompile, or disassemble any aspect of the Service which SME Reminder or its suppliers own.
• SME Reminder claims no intellectual property rights over the Content you upload or provide to the Service. However, by using the Service to send Content, you agree that others may view and share your Content.

General Conditions

• Your use of the Service, including any content, information, or functionality contained within it, is provided "as is" and "as available" with no representations or warranties of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You assume total responsibility and risk for your use of this Service.
• You understand that the Service can be used for transmission of your Content, and that during processing, your Content may be transferred unencrypted over the internet.
• You understand that SME Reminder uses third party vendors and hosting partners to provide necessary hardware, software, information, networking, storage, and related technology to run the service.
• You agree not to resell, duplicate, reproduce, or exploit any part of the Service without the explicit written permission of SME Reminder.
• You may not use the service to store, host, or send unsolicited email (spam), chats or SMS messages. SME Reminder is Anti-Spam compliant and does not authorize or permit spam to be sent out via the automation service by you. If there is evidence of spam, your services might be suspended without notice. Accidental spam must immediately be reported to SME Reminder to prevent suspension.
• You may not use the service to transmit any viruses, worms, or malicious content.
• SME Reminder makes no warranties regarding (i) your ability to use the Service, (ii) your satisfaction with the Service, (iii) that the Service will be available at all times, uninterrupted, and error-free (iv), the accuracy of mathematical calculations performed by the Service, and (v) that bugs or errors in the Service will be corrected.
• SME Reminder, its affiliates and its sponsors are neither responsible nor liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising out of or relating in any way to your use of the Service. Your sole remedy for dissatisfaction with the Service is to stop using the Service.
• If any provision of the Terms of Service is held invalid or otherwise unenforceable, the enforceability of the remaining provisions shall not be impaired thereby.
• SME Reminder may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violates any party's intellectual property or these Terms of Service.
• The Terms of Service sets forth the entire understanding between you and SME Reminder as to the Service, and supersedes any prior agreements between you and SME Reminder (including, but not limited to, prior versions of the Terms of Service).
